These Terms govern your use of the desktop software products Accounts HQ, RWA HQ, and tradeHQ (each, "the Software") and the website ai-consultants.in, all published by Aashray Sanghi ("we", "us"). By installing, activating, or paying for the Software, you ("you", "Customer") agree to be bound by these Terms.

1. Licence grant

Subject to payment of the applicable fees and your continued compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and run the Software on the number of machines specified by your plan, for the duration of your subscription, for the internal business purposes of a single legal entity.

2. Plans, fees, and renewal

• The Software is sold on an annual subscription basis unless a different term is stated at checkout. tradeHQ is available on a single-tier subscription as described on the pricing page.
• Pricing is shown on the Pricing page and may be updated from time to time. Changes apply to new purchases and renewals; existing paid terms are honoured.
• Indian customers are billed in INR. Listed prices are inclusive of all applicable taxes.
• Renewals are not automatic. Towards the end of your term we email you a renewal reminder; you choose whether to renew.

3. Permitted use

You agree to:

• Use the Software only for lawful purposes and only for your own business.
• Keep your licence key confidential and not share it with anyone outside your organisation.
• Not reverse engineer, decompile, modify, or attempt to extract the source code of the Software, except as permitted by applicable law.
• Not resell, sublicense, rent, lease, or distribute the Software or your licence key.
• Not use the Software to develop a competing product.

4. Your data

Your accounting records, vouchers, party ledgers, RWA member lists, broker statements, and other business data ("Customer Data") are stored locally on your machine. You are responsible for backing up Customer Data. See our Privacy Policy for what we do and do not collect.

5. AI features

Some features of the Software send specific user-submitted content (for example, an invoice you choose to AI-fill) to Anthropic's Claude API. By using these features you authorise such submission. AI output is provided "as is" — you remain responsible for reviewing and approving every voucher, entry, or report the AI produces before relying on it for accounting, tax, or compliance purposes.

6. Not a substitute for professional advice

The Software helps you record transactions and generate reports, but it is not a substitute for a qualified chartered accountant, tax advisor, or company secretary. We do not provide GST, TDS, income-tax, or any other statutory advice through the Software.

7. Service availability

The Software runs locally on your machine and works offline. The licence server (used for activation, renewal reminders, and AI proxy) is hosted on third-party infrastructure and is provided on a best-effort basis. We do not guarantee specific uptime; brief interruptions for maintenance or upstream outages are possible.

8. Term and termination

• Your licence is effective from the date the key is delivered until the end of the paid term.
• We may suspend or terminate your licence without refund if you materially breach these Terms or use the Software fraudulently or in a way that harms other users or third parties.
• On termination, you must uninstall the Software. Local Customer Data on your machine is yours to keep.

10. Warranties and limitation of liability

The Software is provided "AS IS" without warranty of any kind, express or implied, including but not limited to fitness for a particular purpose, accuracy, or non-infringement.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to your use of the Software is limited to the fees you have paid us in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, including lost profits or loss of data.

11. Indemnification

You agree to indemnify and hold us harmless from any third-party claim arising from your misuse of the Software, your violation of these Terms, or your violation of any law.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at New Delhi, Delhi, India.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email to active customers at least 30 days before they take effect. Continued use of the Software after the change indicates acceptance.
